These Terms of Service ("Terms") govern access to and use of مالين سوفت products, SaaS platforms, professional services, demos, and related materials (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you are acting on behalf of an organization, you represent you have authority to bind that organization.

1. Accounts & Access

• You must provide accurate registration information and keep credentials secure.
• Account sharing beyond authorized users is prohibited.
• We may suspend or terminate accounts for breach, security risk, or unlawful use.

2. Acceptable Use

• No unlawful, fraudulent, infringing, harmful, or abusive activity.
• No reverse engineering, decompiling, or circumventing security/logical access controls.
• No introduction of malware, exploits, or excessive load.
• No misuse of APIs or automated extraction outside documented limits.

3. Subscriptions, Billing & Trials

• Fees, billing cycles, and payment terms appear in executed orders, quotes, or platform billing settings.
• Trials or preview features are provided “as is” without guarantees and may change or end anytime.
• Late or failed payments may result in suspension; reactivation may require full payment of outstanding balances.

4. Customer Data & Privacy

You retain ownership of Customer Data. We process it to provide and improve Services, in accordance with our Privacy Policy. Where required, supplemental agreements (e.g., Data Processing Addendum) may govern regulated data handling.

5. Intellectual Property

• All platform software, architecture, documentation, and branding remain our intellectual property.
• Feedback may be used to improve Services without obligation.
• Custom deliverables (if any) are governed by the applicable Statement of Work or order terms.

6. Confidentiality

Each party agrees to protect the other’s Confidential Information with reasonable care and use it only for the intended business purpose. Exclusions include information that becomes public, was known independently, or is required by law (with notice where legally permissible).

7. Security & Availability

We implement commercially reasonable safeguards and continuity practices. No system is guaranteed 100% secure or available; planned maintenance, emergency updates, network conditions, or force majeure events may affect availability.

8. Warranties & Disclaimers

• Except as expressly stated, Services are provided “as is” without warranties (explicit or implied) including merchantability, fitness for a particular purpose, or non-infringement.
• We do not guarantee uninterrupted or error-free operation.
• Beta/preview features carry heightened change and instability risk.

9. Limitation of Liability

To the maximum extent allowed by law, neither party is liable for indirect, incidental, special, consequential, or exemplary damages. Aggregate liability for claims arising out of these Terms shall not exceed the fees paid (or payable) for the 12 months preceding the claim.

10. Term & Termination

• Either party may terminate for material breach not cured within reasonable notice (typically 30 days).
• Upon termination, access ceases; we may provide limited data export assistance for a defined period.
• Provisions intended to survive (e.g., IP, confidentiality, liability limits) remain in effect.

11. Compliance & Export

You agree not to use Services in violation of applicable sanctions, export controls, or prohibited jurisdiction restrictions.

12. Governing Law & Dispute Resolution

Unless otherwise specified in a signed agreement, governing law will be the laws of the jurisdiction where our primary commercial entity is registered, excluding conflict-of-law principles. Disputes may require good faith informal resolution prior to formal proceedings.

13. Changes to Terms

We may modify these Terms to reflect updates in functionality, legal requirements, or business practices. Material changes will be posted or communicated. Continued use after updates constitutes acceptance.
